Myndland Terms of Service

These Terms of Service ("Agreement") are a legally binding contract between you and Exebrain.co. Ltd. ("Myndland”, "we", "us").

Acceptance: By clicking "I Agree," creating an account, or using our transcription and analysis software, you signify that you have read, understood, and agreed to these terms.
Entity Representation: If you use the Services on behalf of a company, you represent that you have the legal authority to bind that entity to this Agreement.
Account Security: You are the sole authorized user of your account and are fully responsible for all activities, including maintaining the confidentiality of your login credentials.

"User Content" includes all textual, audio, and visual materials you submit or record via the Services.

Ownership and Rights: You retain all rights to your User Content. However, you grant Myndland a limited license to process this data solely to provide the transcription and analysis services.
No Editorial Involvement: Myndland acts as a "passive conduit" for your data. We do not create, monitor, or review User Content and disclaim all liability for any errors, omissions, or claims arising from it.
Prohibited Content: You warrant that your content will not be defamatory, obscene, fraudulent, or violate any third-party intellectual property or privacy rights.

The legality of AI-powered recording depends on your compliance with consent and disclosure laws.

Host Responsibility: You are solely responsible for obtaining explicit consent from all meeting participants before enabling the Myndland AI recorder or transcriber.
"All-Party" Jurisdictions: In certain states (e.g., California, Florida, Illinois), every participant must consent to a recording. If even one participant is in such a jurisdiction, you must obtain consent from everyone.
Visual/Audio Notifications: While Myndland may provide a notification (visual or otherwise) when the AI is active, this does not relieve you of your legal duty to confirm all participants consent to being recorded.

Myndland uses Artificial Intelligence (AI) to process data, which introduces unique risks.

Accuracy and "Hallucinations": AI systems are not always error-free. Transcripts and summaries may contain "hallucinations," misattributions of speakers, or fail to capture tone and nuance.
Human Review: You agree that AI-generated output should not be used as the "sole source of truth" for legal, financial, or strategic decisions without human verification.
Indemnification: You agree to hold Myndland harmless for any losses resulting from your reliance on AI-generated data or inaccuracies.

Privacy Policy: All personal data is governed by our Privacy Policy, which is incorporated into this Agreement by reference.
Aggregated Data: Myndland retains the right to use anonymized, aggregated data derived from your usage (e.g., performance metrics) for the purpose of improving the Services, provided such data cannot identify you personally.
Retention: Following account termination, Myndland reserves the right to delete all your data in the normal course of operation, and such data cannot be recovered.

Payment Processing: All fees are handled through a third-party Payment Service Provider (PSP). You must agree to the PSP's terms separately; Myndland is not a party to that agreement.
Taxes: All displayed fees are exclusive of applicable federal, state, or local taxes, which will be calculated based on your billing address.

Liability Cap: To the extent permitted by law, Myndland's total liability for any claim shall not exceed (i) the fees paid by you in the six months prior to the claim or (ii) US$100, whichever is less.
Binding Arbitration: All disputes arising from this Agreement will be settled by binding arbitration in Taipei City, Taiwan. You and Myndland both waive the right to a trial by jury or to participate in class-action proceedings.

Cancellation: You may cancel your account at any time by emailing support.
Unilateral Changes: Myndland reserves the right to modify these Terms or the Services at any time, with or without prior notice. Continued use of the service constitutes acceptance of the new terms.
